Important Legal Disclosure: TEE4IT is a commercial brand operated by iSAAS LLC. All commercial contracts, development agreements, Statements of Work (SOWs), Master Services Agreements (MSAs), and operational deliverables provided under the trade name TEE4IT are legally entered into, executed, and guaranteed by iSAAS LLC, a California software company founded in January 2026.

1. Acceptance of Terms

By accessing this website, utilizing our technical services, or contracting solutions through the TEE4IT platform, you agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between your organization ("Client", "you") and iSAAS LLC ("Company", "we", "us"), a California software company founded in January 2026 operating under the commercial brand TEE4IT.

If you are entering into this agreement on behalf of a corporation, nursing facility, or legal entity, you represent and warrant that you hold full legal authority to bind such entity.

2. Scope of Professional Services

TEE4IT, as the commercial technology and software development brand of iSAAS LLC, provides:

Custom Software Development: Web applications, database systems, and custom business tools.
Mobile Apps Building: iOS and Android applications (native and cross-platform).
IT Services (Basic to Medium): Office workstation configuration, local network setup, cloud backups, and IT helpdesk.
SaaS Apps Building: Multi-tenant cloud software platforms, billing engines, and SaaS architecture.
MedFlowX eMAR System: Electronic Medication Administration Record software developed by iSAAS LLC under the TEE4IT brand, featuring a dedicated clinical AI assistant and designed with HIPAA and HITECH-aligned security and privacy controls for nursing homes and long-term care facilities.

3. Intellectual Property Rights & Ownership

Complete Client IP Ownership: Upon full settlement of contractual fees agreed in an SOW for bespoke client projects, iSAAS LLC assigns to the Client all worldwide rights, title, and ownership in and to custom software code and design assets produced specifically for Client.

Proprietary SaaS & MedFlowX: All intellectual property, trademarks, software code, and architectures underlying the MedFlowX eMAR platform are proprietary products developed by and belonging exclusively to iSAAS LLC.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all business information, patient records, technical specifications, and proprietary workflows as strictly confidential. iSAAS LLC executes bilateral Non-Disclosure Agreements (NDAs) prior to auditing proprietary systems or discussing clinical facility data.

5. Warranties & Service Commitments

iSAAS LLC warrants that all custom software and IT infrastructure configured by TEE4IT will be performed in a professional manner in accordance with prevailing software engineering best practices. We provide a 30-day post-launch warranty period for custom software deliverables to remediate defects without extra charge.

6. Limitation of Liability

Except in cases of gross negligence, intentional misconduct, or breach of confidentiality obligations, neither party shall be liable for indirect, incidental, consequential, or punitive damages. The aggregate liability of iSAAS LLC arising out of or related to these Terms shall not exceed the total fees paid by Client to iSAAS LLC under the specific SOW in the six (6) months preceding the claim.

7. Governing Law and Jurisdiction

These Terms and all disputes arising from the commercial operations of TEE4IT by iSAAS LLC shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of laws principles.
